These Terms and Conditions govern your use of our software applications, platforms, and services (collectively, the "Services") provided by Xendworks Private Limited ("Company", "we", "us", or "our").

• "Service" refers to the software applications, platforms and services provided by Xendworks Private Limited.
• "Subscription" means the recurring payment plan that grants you access to use our Services.
• "User" (referred to as either "You" or "Your") means the individual or entity accessing or using the Service.

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis, depending on the type of subscription plan you select.

At the end of each billing period, your subscription will automatically renew under the same conditions unless you cancel it or Xendworks Private Limited cancels it.

You must provide valid and up-to-date payment information. By providing payment information, you authorize us to charge all subscription fees incurred through your account to the payment method designated.

If automatic billing fails for any reason, we reserve the right to disable your access to the Service until payment is successfully processed.

Xendworks Private Limited may, at its sole discretion, offer a subscription with a free trial for a limited period.

You may be required to enter your payment information to sign up for the free trial. If you do, we will not charge you until the free trial has expired.

If you do not cancel prior to the expiration of your free trial, you will be automatically charged the applicable subscription fees for the type of subscription you have selected.

The Service and all of its original content, features, and functionality are and will remain the exclusive property of Xendworks Private Limited and its licensors.

The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Xendworks Private Limited.

Our Service may allow you to post, upload, store, share, or otherwise make available certain information, text, graphics, or other material ("User Content").

You retain any and all rights to User Content you submit, post, or display on or through the Service. By providing User Content, you grant us the right to use, modify, publicly perform, publicly display, reproduce, and distribute such content on and through the Service.

You agree that this license includes the right for us to make your User Content available to other users of the Service, who may also use your User Content subject to these Terms.

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation.
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm the Company or users of the Service.

To the maximum extent permitted by applicable law, in no event shall Xendworks Private Limited, its affiliates, directors, employees, agents, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:

• Your use of, or inability to use, the Service;
• Any unauthorized access to or use of our servers and/or any personal information stored therein;
• Any interruption or cessation of transmission to or from the Service;
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service;
• Any errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via the Service.

You agree to defend, indemnify, and hold harmless Xendworks Private Limited and its licensors, service providers, employees, agents, officers, and directors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms.

If you wish to terminate your account, you may simply discontinue using the Service, or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
